Legal Officer
Job Summary
- Providing legal support to ARM, its business units and subsidiaries in connection with a diverse range of corporate and commercial transactions including capital markets, project finance, corporate finance, real estate, mergers & acquisitions, venture capital, private equity transactions etc.
- Providing legal advice, and company secretarial services to the Boards of ARM and its subsidiary companies, Executive Management, Company Executives, as well as the operational, financial and administrative departments of the organization, with the objective of protecting the organization’s interest from legal liability, and where necessary supporting it’s legal defense in cases filed against or brought by the organization
Responsibilities
- Company Secretarial Services: Support the effective delivery of company secretarial services including (but not limited to) the planning and organizing of Board meetings,
- Annual General Meetings, and communication of resolutions and outcomes.
- Maintenance of best corporate governance practice including but not limited to ensuring that regulatory filings are promptly made, providing advice to management in respect of company secretarial matters, keeping statutory books and ensuring compliance with governance expectations.
- Provide Legal Advisory: Provide legal advisory to internal stakeholders on contracts, financial regulations, and internal policies, as well as on regulatory, institutional, and financial issues arising from the interpretation and application of regulatory requirements / provisions.
- Legal Drafting: Responsible for preparing and reviewing legal documentation for a wide range of the organization’s activities; negotiating relevant drafts or master agreements, reviewing individual transaction documents; proposing and drafting appropriate amendments to internal policies and standard documentation/contracts.
- Capital Market Transactions: Support and advice the organization in the negotiation and drafting of documentation to effect capital raising activities in the Nigerian and international capital and money markets, and draft or review all legal documents required for the implementation of the organization’s borrowing strategy and capital markets transactions.
- Legal Vehicles: Draft and review legal documents concerning the creation of corporate trust funds and Special Purpose Vehicles, with the dual aim of both securing the obligations of the SPV, as well as insulating the organization from the financial and legal risks from these vehicles.
- Collaboration with Compliance Unit : Ensure extensive due-diligence, is conducted on counterparties and that all returns and filings to Regulators are promptly made.
- Stakeholder Management: Proactively seek to build mutually beneficial, and trusting relationships with both internal stakeholders (subsidiaries and shared service functions), and external stakeholders (i.e. regulators), with the aim of delivering operational impact.
- Legislative Watch: Proactively identify, analyze, and respond to legislative developments affecting ARM and its subsidiaries with the aim of shaping policies and legislation to ARM’s benefit.
- Process Improvement: Support the continuous improvement of legal processes and procedures.
- Team Management: Mentor and support junior members of the Legal Unit
Requirements
Education
- LL.B Degree from an accredited university
- B.L Degree from the Nigeria Law School
- SEC Capital market sponsored individual qualification is an added advantage
Experience
- Minimum of 8 to 12 years relevant work experience in capital market transactions, corporate and commercial law transactions required
- Interest in company secretarial practice is required
